On August 16, 2011, upon the recommendation of the Audit Committee, the Board of Directors approved amendments to the Company's Code of Conduct and Ethics to clarify the policy related to anti-bribery and illegal payments, including the Company's commitment to compliance with the U.S Foreign Corrupt Practices Act, the U.K. Bribery Act (effective July 1, 2011) and the anti-bribery laws of all countries where the Company conducts or seeks to conduct business. The amendments also provide reporting procedures for possible illegal payments. On July 21, 2016, upon the recommendation of the Audit Committee, the Board of Directors amended the Company’s Code of Conduct and Ethics. The Code of Conduct and Ethics was amended to incorporate provisions restricting hedging and monetization transactions and to reflect certain other changes.
