On February 26, 2008, the Board of Directors of the Company approved the Company’s 2008 Stock Incentive Plan (the “Plan”). The Plan provides for various types of equity awards that may be made to officers, other employees, consultants, and non-employee directors of the Company and its subsidiaries. The types of awards authorized under the Plan include restricted stock, restricted stock units, incentive stock options, nonqualified stock options, stock appreciation rights and stock grants awards. An aggregate of 10,000,000 shares of the Company’s common stock may be delivered pursuant to awards. As of the date of this report, no awards have been made under the Plan.
